BETA TERMS
OF SERVICE

These Beta Terms of Service ("Terms") govern your access to and use of the Gangbox platform, operated by Gangbox Technologies LLC ("Gangbox Technologies LLC," "we," "us," or "our"), including the application available at app.gangbox.io and any related services. By creating an account or clicking "Accept and Continue," you agree to these Terms. If you do not agree, do not use the platform.

These Terms apply to beta access only. Separate terms will govern paid subscriptions when Gangbox becomes commercially available.

1. Beta Program

• The Gangbox platform is currently in beta and is provided for testing and evaluation purposes only.
• Beta access is invitation-only. You may not share your invitation or allow others to access your account.
• Features may be incomplete, unavailable, changed, or removed without notice at any time.
• We make no guarantees about uptime, data preservation, feature continuity, or continued access during the beta period.
• We may suspend or terminate beta access at any time, for any reason, with or without notice.
• Beta access is provided at no charge. No fees are collected during the beta period.

2. Eligibility and Account

• You must be at least 18 years old and authorized to enter into binding agreements to use Gangbox.
• You must be invited by Gangbox to create an account. Unauthorized signups are not permitted.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately at legal@gangbox.io if you suspect unauthorized access to your account.

3. AI-Generated Outputs — Important Disclaimer

Gangbox uses artificial intelligence to process documents and generate information. Please read this section carefully.

• AI outputs — including COI compliance results, extracted document data, contact information, suggested actions, drafted communications, and any other AI-generated content — may contain errors, omissions, or inaccuracies.
• You are solely responsible for reviewing, verifying, and independently confirming all AI-generated outputs before relying on or acting upon them.
• Gangbox does not provide legal advice, insurance advice, financial advice, engineering advice, or construction management advice. Nothing in the platform constitutes professional advice of any kind.
• You should always consult qualified professionals — including licensed attorneys, insurance advisors, and construction managers — before making decisions based on information generated by Gangbox.
• AI output accuracy may vary based on document quality, scan resolution, and the complexity of the input. Gangbox does not warrant that any extraction, analysis, or recommendation is accurate or complete.

4. Uploaded Documents and Data

• By uploading documents to Gangbox, you represent and warrant that:
• You have the legal right to upload and share those documents with a third-party software platform.
• The documents do not contain content that violates any applicable law or the rights of any third party.
• You have obtained any necessary consents from individuals or entities whose information is contained in the uploaded documents.
• Uploaded documents may be processed by third-party AI services, including Anthropic. See Section 9 (Third-Party Services) for details.
• We do not use your uploaded documents to train our own AI models.
• You retain ownership of all documents you upload. Gangbox receives only the limited license necessary to provide the service to you.

5. Acceptable Use

You agree not to use Gangbox to:

• Upload content you do not have the right to share
• Violate any applicable local, state, federal, or international law or regulation
• Upload or transmit any malicious code, malware, or harmful content
• Attempt to reverse engineer, scrape, or copy any part of the platform
• Access or attempt to access another user's account or data
• Use the platform for any purpose other than its intended use as a construction project management tool
• Share your account credentials or beta access with any third party

6. Intellectual Property

• All software, design, content, trademarks, and technology underlying Gangbox — including the Gangbox name, logo, and the Gus AI assistant — are owned by or licensed to Gangbox Technologies LLC and are protected by applicable intellectual property laws.
• These Terms do not grant you any rights in Gangbox Technologies LLC's intellectual property beyond the limited right to use the platform during the beta period.
• You retain all rights to the documents and data you upload. You grant Gangbox Technologies LLC a limited, non-exclusive license to process your content solely to provide the service.

7. Feedback

• If you provide feedback, suggestions, or ideas about Gangbox during the beta period, you grant us the right to use that feedback without restriction or compensation to you.
• Feedback is voluntary. You are not required to provide it.

8. Limitation of Liability

• To the maximum extent permitted by applicable law, Gangbox Technologies LLC's total liability to you arising out of or related to these Terms or your use of the platform is zero ($0) during the beta period, as no fees are charged for beta access.
• In no event will Gangbox Technologies LLC be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, even if Gangbox Technologies LLC has been advised of the possibility of such damages.
• This limitation applies regardless of the legal theory under which damages are sought — including contract, tort, negligence, or strict liability.

9. Disclaimer of Warranties

• The Gangbox platform is provided "as is" and "as available" without warranties of any kind, either express or implied.
• Gangbox Technologies LLC expressly disclaims all warranties, including but not limited to: merchantability, fitness for a particular purpose, accuracy of AI outputs, and non-infringement.
• We do not warrant that the platform will be error-free, uninterrupted, or free of security vulnerabilities.

10. Third-Party Services

Gangbox uses the following third-party services to operate the platform. Your use of Gangbox is also subject to the applicable terms and privacy policies of these providers:

• When documents are processed by Gangbox's AI features, the content of those documents is transmitted to Anthropic for analysis. Anthropic's API does not use submitted content for model training, and data submitted via the API is deleted within 7 days per Anthropic's data retention policy.
• We are not responsible for the practices of third-party services. We encourage you to review their policies.

11. Confidentiality and Restrictions

11.1 Confidential Information

By participating in the Gangbox beta, you will have access to non-public information about the Platform, including but not limited to:

• The product interface, design, and user experience
• AI agent workflows, logic, and functionality
• Feature roadmap and planned capabilities
• Underlying technical architecture and data structures
• Business model, pricing, and strategy
• Any information Gangbox designates as confidential, or that a reasonable person would understand to be confidential given the context

All of the above constitutes Confidential Information and is the exclusive property of Gangbox.

11.2 Your Obligations

You agree to:

• Keep all Confidential Information strictly confidential
• Not disclose Confidential Information to any third party without prior written consent from Gangbox
• Not use Confidential Information for any purpose other than evaluating and using the Platform during the beta period
• Not reproduce, copy, screenshot, record, or document any part of the Platform for any purpose other than your own internal use during the beta period
• Promptly notify Gangbox at legal@gangbox.io if you become aware of any unauthorized disclosure of Confidential Information

These obligations do not apply to information that is or becomes publicly available through no fault of yours, or that you can demonstrate you knew independently before your beta access began.

11.3 No Competing Use

You agree that during the beta period and for two (2) years following the termination of your beta access, you will not:

• Use knowledge or insights gained through your access to the Platform to design, build, or contribute to a competing construction project management or AI-powered construction software product
• Share Confidential Information with any person or entity that is building or planning to build a competing product

11.4 No Screenshots or Public Disclosure

You agree not to:

• Post screenshots, screen recordings, or descriptions of the Platform on any public platform, social media, blog, or website without prior written consent from Gangbox
• Discuss specific features, workflows, agent behavior, or functionality of the Platform in any public forum
• Use the Platform's name, screenshots, or outputs in any marketing, pitch, or promotional material without prior written consent

11.5 Return or Destruction

Upon request by Gangbox or upon termination of your beta access, you agree to promptly delete or destroy any copies, notes, or recordings of Confidential Information in your possession and confirm such deletion in writing upon request.

11.6 Injunctive Relief

You acknowledge that any breach of this Section 11 would cause irreparable harm to Gangbox for which monetary damages would be an inadequate remedy. Gangbox is entitled to seek injunctive or other equitable relief to enforce this Section, in addition to all other available legal and equitable remedies, without the requirement to post a bond or other security.

12. Termination

• We may suspend or terminate your beta access at any time, with or without cause, with or without notice.
• You may stop using Gangbox at any time by contacting us at legal@gangbox.io to request account deletion.
• Upon termination, your right to use the platform ceases immediately. We will handle your data in accordance with our Privacy Policy.

13. Governing Law and Disputes

• These Terms are governed by the laws of the State of Georgia, without regard to its conflict of law provisions. Gangbox Technologies LLC is a Georgia limited liability company.
• Any disputes arising out of or related to these Terms shall be resolved in the state or federal courts located in Georgia, and you consent to personal jurisdiction in those courts.
• You waive any right to a jury trial in any dispute arising from these Terms or your use of the platform.

14. Changes to These Terms

• We may update these Terms at any time. When we do, we will publish a new version and notify you via the platform (including a new acceptance prompt on your next login).
• Your continued use of Gangbox after any update constitutes acceptance of the revised Terms.
• The current version of these Terms is always available at gangbox.io/terms.
